1. Acceptance of Terms
By accessing or using the huhu.ai platform, website, API, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and huhu.ai (“we,” “us,” or “our”).
We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
2. User Accounts
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account information.
3. Permitted Use
The Service is provided for lawful purposes only. You agree to use the Service in compliance with all applicable laws, regulations, and these Terms. You may use the Service to generate, modify, and enhance images for commercial and personal purposes, subject to the restrictions outlined herein.
You agree not to:
- Use the Service to create content that is defamatory, obscene, harassing, or otherwise objectionable
- Generate images that infringe upon the intellectual property rights of any third party
- Attempt to reverse-engineer, decompile, or disassemble any component of the Service
- Use automated tools to access the Service in a manner that exceeds reasonable usage or circumvents rate limits
- Resell, sublicense, or redistribute the Service without our prior written consent
- Use the Service to generate deceptive deepfake content intended to mislead or defraud
4. Intellectual Property
The Service, including its design, code, AI models, documentation, and all related materials, is owned by huhu.ai and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as described herein.
You retain ownership of the images you upload to the Service. For images generated by the Service using your inputs, you are granted a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute the generated images for any lawful purpose.
5. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
6. Payment and Billing
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by applicable law.
We reserve the right to change our pricing at any time. Any price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' notice before any price increase takes effect.
7. Limitation of Liability
To the maximum extent permitted by applicable law, huhu.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
In no event shall our aggregate liability for all claims related to the Service exceed the greater of one hundred dollars ($100) or the amount you paid us in the twelve months preceding the claim.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
9. Indemnification
You agree to indemnify, defend, and hold harmless huhu.ai, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the Service or violation of these Terms.
10. Termination
We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
